The short version: browse and buy in good faith, keep your account secure, do your own due diligence on any property, and know that the purchase agreement you sign is what ultimately governs your transaction — this page covers everything else.

01 Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of firmground.ca, our property storefront, our client portal, and any related services we operate (collectively, the "Services"), operated by Firmground.ca — The Canadian Land Collective ("Firmground," "we," "us," or "our").

By browsing our website, submitting an enquiry, creating a client portal account, or entering into a purchase agreement with us, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

These Terms work alongside our Privacy Policy, which explains how we handle your personal information, and any purchase, financing, or other agreement you sign with us directly. Where a signed agreement conflicts with these Terms on a matter it specifically addresses, the signed agreement governs.

02 Who can use our services

You must have reached the age of majority in your province or territory of residence and have the legal capacity to enter into a binding contract to purchase property or register for the client portal. By using our Services, you confirm that this is the case.

You're responsible for ensuring your use of our Services complies with the laws that apply to you, including where you live or where a property is located.

03 Our services

Firmground is a direct landowner, not a listing marketplace. Every property on our storefront is owned by Firmground, and every sale is financed exclusively through owner-direct financing arranged directly with us — we don't list property on behalf of other sellers, and we don't offer or arrange any other form of financing. Our Services include:

  • A public property storefront where you can browse land we own and offer for sale
  • Enquiry and contact forms to reach our team
  • A client portal where existing clients can view their property, payment history, and outstanding balance, and communicate with us

We may add, change, or discontinue features of our Services at any time. We'll try to give reasonable notice of any change that materially affects an active client relationship.

04 Property listings

We make a genuine effort to keep listing details — price, size, location, zoning, and access — accurate and current, but land information can change and errors can occur. Listings are not an offer that can be accepted simply by clicking a button; a sale is only final once a written purchase agreement is signed by both parties.

Photos and descriptions are provided for general reference and may not reflect a property's exact current condition or boundaries. Prices and availability are subject to change without notice, and a listed property may sell or be withdrawn at any time before a purchase agreement is signed.

You're responsible for doing your own due diligence before purchasing — including verifying zoning, access, utilities, land use restrictions, and suitability for your intended purpose, whether through your own research, a site visit, or professional advice (such as a survey or legal opinion). We encourage every buyer to do this before signing a purchase agreement.

05 Purchases & financing

When you decide to purchase a property, the specific terms of that sale — including price, deposit, financing structure, payment schedule, and what happens in the event of a late or missed payment — are set out in the purchase and financing agreement you sign with us. That signed agreement is the governing document for your transaction; this page provides general context but does not replace it.

Your client portal account shows your balance and payment history as a convenience and is updated as payments are recorded. If there's ever a discrepancy between what the portal shows and our official records, please contact us so we can review and correct it.

You agree to provide accurate, current information when purchasing a property or making a payment, and to keep your contact and payment details up to date so we can reach you about your account.

06 Your account

If you register for the client portal, you're responsible for maintaining the confidentiality of your login credentials and for all activity that happens under your account. Let us know right away if you suspect unauthorized access to your account.

You agree to provide accurate information when creating your account and to keep it up to date. We may suspend or terminate portal access if we reasonably believe an account is being used fraudulently, in violation of these Terms, or in a way that risks the security of our Services or other users.

07 Acceptable use

When using our Services, you agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to another user's account or to any non-public part of our systems
  • Interfere with or disrupt the security, integrity, or performance of our Services
  • Scrape, harvest, or systematically extract data from our website without our written permission
  • Upload or transmit viruses, malicious code, or anything designed to disrupt our Services
  • Impersonate any person or misrepresent your affiliation with any person or entity
  • Use our Services to send unsolicited advertising or spam

We may investigate and take appropriate action, including suspending access and involving law enforcement, if we reasonably believe these Terms have been violated.

08 Intellectual property

The Firmground name, logo, and all site content — including text, graphics, listing photography, and the design and structure of our website and portal — are owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use our Services for your own personal, non-commercial purpose of browsing listings or managing your account. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission.

10 Disclaimers

Our Services and the information on them are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

Land is a long-term asset whose value can go up or down, and Firmground makes no guarantee or representation about the current or future value of any property, its suitability for any particular use, or the investment return (if any) a buyer might realize. Nothing on our website or in our marketing is investment, legal, or tax advice, and you should seek your own independent professional advice before making a purchase decision.

We don't guarantee that our website or portal will be uninterrupted, error-free, or secure, or that any defects will be corrected.

11 Limitation of liability

To the fullest extent permitted by law, Firmground and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of our Services, even if we've been advised of the possibility of such damages.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law, including liability for gross negligence, wilful misconduct, or fraud. Nothing in this section affects the specific obligations set out in a signed purchase or financing agreement.

12 Indemnification

You agree to indemnify and hold Firmground harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your violation of these Terms, your misuse of our Services, or your violation of any law or the rights of a third party.

13 Governing law

These Terms are governed by the laws of Canada and the province in which the relevant property is located or, where no property is involved, the laws of the Province of Ontario, without regard to conflict-of-law principles.

14 Resolving disputes

If a disagreement comes up, we'd like the chance to work it out with you directly first — please contact us using the details below so we can try to resolve it informally and promptly. If we can't reach a resolution this way, the dispute may be brought before the courts of the province with jurisdiction over the matter, or, where the parties agree, resolved through mediation or arbitration.

15 Changes to these terms

We may update these Terms from time to time to reflect changes in our Services or in applicable law. We'll post the revised Terms on this page with an updated "Last updated" date, and where a change is material, we'll provide additional notice — for example, by email or a notice in the client portal. Continuing to use our Services after a change takes effect means you accept the updated Terms.

16 General terms

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms won't be considered a waiver of that right. These Terms, together with our Privacy Policy and any signed agreement between us, make up the entire understanding between you and Firmground regarding your use of our Services.
